Quantum Signals – Acceptable Use Policy

Applies to: the Quantum Signals platform, APIs, tools, and related services (the “Services”) provided under the Master Subscription Agreement (the “Agreement”) and any Order Form. Capitalized terms not defined here have the meanings in the Agreement. This AUP is incorporated by reference into the Agreement and each Order Form. If there is a conflict, the Agreement controls.

1) Account & Security

1.1 Authorized Users only. Access the Services only through your Customer Account and Access Credentials issued under the Agreement. Do not share or reuse credentials across individuals.

 1.2 Safeguards. Maintain reasonable administrative, physical, and technical controls (e.g., MFA, device security, patching). Notify Quantum Signals promptly of suspected compromise, misuse, or unauthorized access.

 1.3 No circumvention. Do not bypass, disable, or interfere with authentication, rate-limiting, usage metering, or access controls.

2) Fair Use & API Rules

2.1 Follow usage limits. Comply with Usage Metrics, plan limits, concurrency caps, and any Min/Max re-training frequency stated in your Order Form.

 2.2 API keys. Keep keys confidential; rotate them if exposed. Do not proxy, pool, share, or resell keys to third parties.

 2.3 Traffic quality. No abusive call patterns (e.g., flooding, amplification, or scripted retries to defeat rate limits). Use reasonable backoff and caching consistent with Section 3.

3) Data Handling & Outputs

3.1 Customer Data. Only submit or connect data that you are legally entitled to provide and that is necessary for your use of the Services.

 3.2 Sensitive data. Do not input into the Services any highly sensitive or regulated data (e.g., government IDs, bank/PCI data, health data, special categories under GDPR) unless you have a separate written agreement with Quantum Signals expressly permitting it.

 3.3 Outputs (license scope). Subject to the Agreement, Outputs (signals, forecasts, analytics, machine-generated results) are licensed to you for internal business purposes. Unless your Order Form expressly allows otherwise, you must not:

• redistribute, resell, sublicense, or publicly display Outputs;
• use Outputs to train, fine-tune, or improve models other than your internal models used solely for consuming the Services;
• create a substitute or competing dataset or service from Outputs (e.g., systematic scraping or bulk export to replicate the Services).
•  3.4 Caching. You may cache Outputs internally to support your permitted use. Do not use caching to evade plan limits or create a derivative data store that replicates the Services.
•  3.5 Attribution & confidentiality. Do not remove or obscure notices in the Services or Outputs. Treat any non-public information about the Services as Confidential Information under the Agreement.

4) Custom Signal Service (Customer Customizations)

4.1 Ownership & privacy. Customer Customizations (your specs/parameters/rules/labels and unique configuration artifacts that implement them) are your IP. Quantum Signals will not sell, license, disclose, or reuse Customer Customizations except to serve you under the applicable Order Form.

 4.2 No ingestion of third-party secrets. Do not provide another party’s confidential information or trade secrets as Customer Customizations unless you have that party’s authorization.

 4.3 Deletion. On cancellation/termination of the Custom Signal Service, Quantum Signals will delete Customer Customizations in accordance with the Agreement (including any post-termination backup rotation periods).

5) Prohibited Conduct (non-exhaustive)

You must not use the Services or Outputs to:

• violate law, infringe IP or privacy rights, or facilitate unlawful conduct;
• probe, scan, or test the vulnerability of any system without written authorization; introduce malware; or disrupt/attempt to disrupt the Services (e.g., DDoS);
• reverse engineer, decompile, or derive source models or model weights, except to the extent such restriction is prohibited by law;
• benchmark or publish performance comparisons of the Services for public distribution without Quantum Signals’ prior written consent;
• build or train models or datasets intended to replicate or substitute the Services or Outputs;
• financial market abuse: engage in or facilitate market manipulation (e.g., spoofing, layering, wash trades), insider trading, inaccurate or unlawful disclosures, or any conduct violating Applicable Financial Laws;
• violate sanctions, export, or trade-compliance laws (see Section 8).

6) Trials

6.1 Same product; no charge. If an Order Form specifies a Trial Period, the Services and Outputs during the Trial are the same as paid Services; no Fees apply during the Trial, as set in the Agreement.

 6.2 Auto-conversion / opt-out. Trials auto-convert as described in the Agreement unless you provide timely written notice of non-conversion within the period stated there.

 6.3 No evasion. Do not create multiple trials or accounts to circumvent limits or Fees.

7) Market Conduct & Disclaimers

7.1 No reliance for unlawful trade. You are solely responsible for your trading and risk decisions; do not use the Services or Outputs to violate market rules or to execute strategies you are not authorized to deploy.

 7.2 Compliance. You are responsible for complying with Applicable Financial Laws (e.g., SEC/CFTC/NFA/ESMA/EU Member State NCAs/FCA, and venue rules) applicable to your activities and jurisdiction(s).

8) Export Control & Sanctions

You may not access or use the Services or Outputs (a) in or for the benefit of any country, person, or entity embargoed or sanctioned by the U.S., U.K., or EU; (b) if you are on a restricted-party list; or (c) for any prohibited end-use under applicable export-control laws. You are responsible for obtaining required authorizations.

9) Monitoring; Enforcement; Suspension

9.1 Monitoring. Quantum Signals may monitor usage (including API calls and response metadata) to ensure security and compliance with this AUP and the Agreement.

 9.2 Remedies. Quantum Signals may suspend or rate-limit access, disable keys, or require corrective actions if it reasonably believes you violated this AUP or the Agreement. For material or repeated violations, Quantum Signals may terminate access as permitted by the Agreement. Where practical and lawful, Quantum Signals will provide notice and an opportunity to cure.

 9.3 Third-party requests. You will cooperate with lawful requests from regulators or venues relating to your use of the Services or Outputs.

10) Reporting

Report suspected abuse, security issues, or violations to security@quantumsignals.ai (or your named account contact). Include logs, timestamps (UTC), and request IDs if available.

11) Changes to this AUP

Quantum Signals may update this AUP from time to time. Material changes will be communicated via the Services, email, or your account portal. Continued use after the effective date of an update constitutes acceptance.
